General Terms and Conditions
Welcome to Desk-Hub!
These General Terms and Conditions (“Terms”) are a binding legal agreement between you (as User) and Desk-Hub (as Service Provider) regarding the provision by Desk-Hub of certain intermediation services through the Desk-Hub Platform (e.g. websites, applications, and other services from Desk-Hub – hereinafter referred to as the “ Desk-HubPlatform”). Any referral of the Terms to “Desk-Hub”, “we”, “us”, or “our” shall be construed as to be one to the Desk-Hub entity (“Desk-Hub”).

Through the Desk-Hub Platform, Users may publish, offer, look for and book services online. The Users which publish and offer the services are referred to as “Hosts”, while users who look for, book, or utilize services are referred to as “Riders”. More details can be found in section “Definitions” below.
A User may be both a Rider and/or a Host, when they register their account accordingly.
Definitions
A “User” is a participant to the Desk-Hub platform which uses the “Desk-Hub Services” having set an account either as a Rider or a Host in accordance to the Desk-Hub Terms & Conditions.
A “Host”is a person or company acting rightfully as a space owner, or having the right to manage/dispose of, or having the right to use and sublet an area (location) suitable to accommodate flexible office work for defined periods of time. Hosts offer for rental work areas (“Listings”), and several other rendering services connected to the work area environment (collectively referred to hereinafter as “Host Services”). Each work area offered by a Host is presented as “Listing”, along with the rest of associated Host Services, so that the listed work area can be booked and used by other users of the Desk-Hub platform called “ Riders”;Desk-Hub is empowered by Host to negotiate and perform, on behalf of the Host, the sale of the Host Services, via the Desk – Hub Platform, and Desk-Hub charges its intermediary Service fee based on bookings only;
A “Rider” is the person or company booking a work area from the Listings provided by Hosts, as well as other Host Services, if applicable, for a defined period of time; Desk-Hub is in no way empowered to represent a Rider during the negotiation and sale of the Host Services.
“Work area” shall be the work area the Rider reserves by booking a reservation in a chosen and available timeframe by using the Desk-Hub platform;
“Listing” shall be the work area as presented by the Host in his Account on Desk-Hub platform saved as draft, published or unpublished. A Listing includes as minimum information detailed location information (such as space identifier (ex: room #/ Desk ID), floor, building and address, photo/map of work area), availability, time-window for “Open for Business”, price and amenities description.
“Desk-Hub Services ” are the intermediary services provided by Desk-Hub through, among others, the Desk-Hub platform, which consist in allowing and facilitating Hosts and Riders to enter in transactions with each other with respect to Listings and other Host Services; Such transactions are concluded through (by using) the Desk – Hub Platform;
All available Desk-Hub Services are described below, and are comprised of work areas split in type of offices, as follows: hot desk, team room, private office, meeting room. Corresponding prices are set independently by each Host, per office type and are dependent on rental period (hourly, daily and/ or monthly). Amenities and convenience services, if any, are at the time being charged separately and communicated (via Desk-Hub Conversations) by the Host.
“Rental period” shall be the timeframe of the booking selected by the Rider and approved by the Host;
“Price” shall be the work area rental price set by the Host payable by the Rider for the Work area, representing the “Hourly/ Daily/ Monthly Tariff” as set by the Host in the Listing;
“Fees” shall be the fees charged by Desk-Hub for intermediation services (applicable only to Hosts – Service fee) and third Party’s financial cost of a transaction payment processing;
“Total cost” shall be the total cost of a transaction including cumulated cost for work area rental, associated fees and other miscellaneous fees or taxes encountered when a transaction is completed. Certain fees may be applicable subject to Desk Hub’s Cancellation Policy;
“Host Services ” are defined as all services listed on Desk-Hub platform offered by the Host to the Rider, including Work area rental services as well as optional services related to additional amenities offered by the Host;
“Hot Desk” refers to a desk place fitting a single person (1 desk) in co-sharing working environment - a work area shared by multiple office workers at the same time.
“Team Room” refers to a work area that can accommodate 3 persons or more, fit for project based team work;
“Private office” is a work area reserved for privacy, or audio calls; private office fit for 1 or 2 persons.
“Meeting Room” is a room properly set up for a meeting suiting over 4 persons, which can be booked on an hourly base, equipped subject to Hosts’ Listing description;
“Daily Pass” is a one-day entry in a coworking area - access to shared desk options and available amenities (including coffee, kitchenette access, printing facilities, and entry to lounge areas.)
In addition to these General Terms & Conditions, other specific terms and policies apply to the use of the Desk-Hub Platform, as follows: our Data Protection Policy, which describes our collection and use of personal data, our Payment Terms, regulating the method of payment for the participants to the Desk-Hub Platform, our Content & Review Policy and Standards, our Cancellation Policy and our Specific Hosts Terms & Conditions.
Your acknowledgement and acceptance of these Terms extends also to the aforementioned specific terms and policies, if applicable to your situation.

1. Accounts
1.1. In order to be able to benefit from the services rendered through the Desk-Hub Platform, you must register for a User account and provide correct and updated information at all times.
In order to benefit from Desk-Hub Services and book or otherwise schedule time in a work area (a "Work area”) from another User through the Desk-Hub Platform, or to offer for booking or otherwise make available your Work area to another User through the Desk-Hub Platform, you must register for a User account. In these Terms of Use, Users that book or otherwise schedule time in a Work area on the Desk-Hub Platform are referred to as “Riders” and Users that offer for booking or otherwise make available their Work area through the Desk-Hub Platform are referred to as “Hosts.
1.2. By registering an account on Desk-Hub platform you agree to fully follow and abide by these Terms, including the below Rules of Conduct, and to refrain from helping or inducing others to break or circumvent these Terms.

Probity and courtesy in relating on the Desk-Hub Platform with other Users
Honesty, transparency and accountability with respect to your identity and all your statements when interacting with other Users on the Desk-Hub Platform
Civility and courtesy in conversations and interaction with other Users on the Desk-Hub Platform
Any type of discriminatory or harassing behavior/language/etc. is strictly prohibited
Refrain from manipulating any data and/or any hardware / software component of the Desk-Hub Platform, by any means, as well as refrain from gaining access into, or data from, a computer system / User / third party without authorization, refrain from back engineering, infringing the rights of or causing damage to the Desk-Hub Platform
Refrain from using robotic/automated means to gather and categorize information or automatically mine data or collect information or interact in any other similar way with the Desk-Hub Platform.
Refrain from causing damage to or eluding the security system of the Desk-Hub Platform or its Content.
Refrain from decoding, recreating the original source code from a compiled executable, dismantling any of the software or hardware used in connection with the Desk-Hub Platform.
Refrain from affecting in any manner through your behavior the accurate operation of the Desk-Hub Platform.
The use of the Desk-Hub Platform shall take place only according to these Terms or an agreement signed with Desk-Hub
Refrain from using another User’s identification data, unless it is necessary for a service rendered through the Desk-Hub Platform according to the provisions of these Terms.
Refrain from contacting another User for advertising/business opportunities purposes, by using their personal identification data, unless you have their consent in this respect
The content on the Desk-Hub Platform may only be used as a consequence of your capacity as Rider or Host
Refrain from using the content on the Desk-Hub Platform without prior approval obtained from the owner, or granted through these Terms, or further to an agreement signed with Desk-Hub
Refrain from demanding, performing or consenting to a booking or payment which are not performed within the framework of the Desk-Hub Platform with the purpose of circumventing due fees, taxes or for another reason.
Refrain from demanding Riders to initiate an account, post reviews or use a distinct website, application or service in connection with a booking, without the prior approval of Desk-Hub.
Refrain from developing any method aimed at damaging our enquiry computer program
Refrain from booking Host Services if you do not use them.
Refrain from using or copying the Desk-Hub Platform, the Content, the Desk-Hub trademarks, or any webpage design without Desk-Hub prior approval.
Please make sure you observe the provisions of any applicable laws, including those regarding confidentiality, data protection and export and fulfill all the duties provided therein
Should you provide another person’s personal data, you should comply with all applicable legal requirements and procedure, including without limitation obtaining their prior consent and providing to Desk-Hub approval to process the information according with our Data Protection Policy.
Please make sure that you have studied, familiarized yourself and you comply at all times with these Terms as well as any other of our terms and policies.
Please make sure that you respect the intellectual property rights of Desk-Hub and others, including with respect to obtaining the prior approval for use (regarding name, logo, branding, or trademarks).
Please refrain from infringing Desk-Hub rights with respect to its domain name, social media handle, trade name, trademark, logo including by using confusing or similar names/ trademarks.
Please refrain from offering Host Services which are against any applicable laws or contractual provisions undertaken by you.
Please refrain from engaging in any behavior/language/etc. or from encouraging/condoning in any way any form of sexual services, human trafficking, money laundering, terrorism, child abuse or any other form of abuse and in general from any illegal / damaging activity.
1.3. In connection with registering for, using or participating in the Desk-Hub Service (whether as a Rider, or Host), you agree to (i) provide accurate, current and complete information about you and your organization as requested by Desk-Hub ("Registration Data"); (ii) maintain the confidentiality of your password and other information related to the security of your account; (iii) maintain and promptly update the Registration Data and any other information you provide to Desk-Hub, to keep such information accurate, current and complete; and (iv) be fully responsible for all use of your account and for any actions that take place through your account.
1.4. Reporting Violations . If you believe that a Member, Listing or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting Desk-Hub. In addition, if you believe that a Member, Listing or Content has violated our Standards, you should report your concerns to Desk-Hub. If you reported an issue to local authorities, Desk-Hub may request a notification with respect to that report. Except as required by law, we are not obligated to take action in response to any report.
1.5. Copyright Notifications . If you believe that Content on the Desk-Hub Platform infringes copyrights, please notify us in this respect.
2. Riders Rights & Obligations
2.1. Registration of an account gives the User the possibility to book a work area listed through Desk-Hub platform. A company can also set up an account and offer its employees the possibility to use Desk-Hub credits for remote work area bookings.
2.2. The account of a Rider has to include at least the following information: name / corporate name, e-mail address, domicile / registered office, ID document type, series and number / Trade Registry registration number, fiscal registration number (if applicable), representative name and position (if applicable).
2.3. The moment you receive per e-mail a reservation from Desk-Hub Platform, you are under contract/ bonded contractually in direct connection to the Host. Please be aware and bear in mind that while Desk-Hub is empowered by Host to negotiate and perform, on behalf of the Host, the sale of the Host Services, via the Desk – Hub Platform, this empowerment is limited to the above and there is no contractual relationship between you and Desk-Hub with respect to the use of the Work area or any other Host Services – Desk-Hub does not provide, guarantee or in any way accepts liability for your access to / use of the Work area or your benefiting from any Host Services. Any contractual relationship and any liability / warranty, etc. in this respect exists solely between you and the Host.
2.4. The Work area is accepted by the Riders with its full characteristics in terms of location, address, condition, configuration, amenities, etc. (“as is”, “where is” condition), without the possibility to demand fit-out works. In case, regardless of the motive, the Host cannot provide the use of the Work area at the beginning of the Term, you, in your capacity as Rider, may cancel the booking without any penalty and you shall be reimbursed with any amounts paid in connection thereto.
2.5. Cancellations and Reimbursements . If you cancel a booking, the amount reimbursed to you is determined by the Cancellation Policy applicable for that booking.
2.6. Booking Modifications . Currently, booking modifications are not possible. In case you need to change your reservation, cancellation is required, in accordance to our Cancellation Policy and Payment Terms and a new reservation is further needed.
2.7. As registered User, you are liable for each of your actions and inactions as well for the ones of third parties invited by you within the Work area (Listing House Rules may apply – about which you are obliged to inform yourself, respect and adhere to). Please check in advance with the Host of any restriction may apply when entering a location. Desk-Hub is not responsible nor knowledgeable of detailed house rules of each Host. E.g.: (i) you are liable for returning the Work area (and related amenities) in the condition received, and (ii) you shall make sure you prove probity, courtesy and observance of the laws in force.
3. Hosts’ Rights & Obligations
3.1. As a Host, Desk-Hub offers you the opportunity to share your Work areas by listing and publishing, offering Locations/ Listings (be it in any type of private or public building), in form of desk places (entitled hot desk, private office, team room and meeting rooms), or other Host Service (services in connection with the working environment) with our vibrant community of Riders - and earn money doing it. Work areas like business centers, co-working spaces, hybrids, hotel business centers, can be listed by the Host on Desk-Hub platform. The account of a Host has to include at least the following information: name / corporate name, e-mail address, domicile / registered office, ID document type, series and number / Trade Registry registration number, fiscal registration number (if applicable), representative name and position (if applicable).
3.2. It is free of charge to create a Listing and you are in control of how you, as host, set your price, availability, and rules for each Listing. The Host undertakes to assure accurate space availability through periodic account update as necessary. House rules must be clear, reasonable and should not interfere with overall Desk-Hub Rules.
Please be aware and bear in mind that there is no contractual relationship between you as a Host and Desk-Hub with respect to your providing the use of the Work area or any other Host Services and your receipt of the corresponding Price – Desk-Hub does not guarantee or in any way accepts liability for your receipt of the corresponding Price or for any issues relating to the use by a Rider of the Work area and related Host Services. Any contractual relationship and any liability / warranty, etc. in this respect exists solely between you and the Rider.
3.3. All Listing information is as set by the Host in his account. The Host undertakes that each Listing is made following the Desk-Hub’s General Terms and Conditions as well as Hosts Specific Terms & Conditions and releases Desk-Hub of any obligation or dispute whatsoever in relation to the “HostServices”.
3.4. The moment you receive per e-mail a reservation from Desk-Hub Platform, you are under contract/ bonded contractually in direct connection to the Rider, and you are solely responsible for delivering the Host Services in good faith – terms & price shown in your Listing, valid as of moment of reservation. If Listing price is changed, modifications will not apply for upcoming or current reservations.
3.5. For all reservations, Desk-Hub Cancellation Policy applies and you agree with its terms.
3.6. Independence of Hosts . You are not an employee, agent, joint-venturer or partner of Desk-Hub. Desk-Hub does not direct or control your Host Service and you understand that you have complete discretion whether and when to provide Host Services, tariff you see as best fit and on what terms to offer them.
3.7. Creating and Managing Your Listing . The Desk-Hub Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your Host Service (Work area), your charges, additional costs for facilities, specific demands and rules for the Riders or Listing. You have the sole liability for your actions and inactions and for providing at all times an updated and correct information on your Listing (e.g. the period of the booking, availability, photos of the Work area etc.).
3.8. Observe the applicable laws and your duties provided therein. You have a liability with respect to the observance of all applicable laws and contracts regarding your Listing or Host Services. Make sure you are aware of the laws in force regarding your Host Services. Particularly, you are solely liable and Desk-Hub does not accept any liability, responsibility, etc. with respect to
- any approvals, permits, etc. necessary to you as a Host or to the Work area;
- any health and safety, hygiene, fire protection etc. issues regarding the Work area or the location/ building where the Work area is placed;
- any reporting obligation related to the rental of the Work area and the provision of the Host Services;
- any reporting / tax / money laundering prevention / terrorist activities financing prevention obligation incumbent on you as a result of any financial amounts due to you or received as a result of your rental of the Work area and the provision of the Host Services;
- any legal obligations incumbent on you further to any applicable laws and regulations.
You are liable with respect to observance of data protection applicable laws and the Terms when dealing with personal data of Riders and others. In case you have any queries with respect to the foregoing, please look for professional legal services.
3.9. Additional detailed Specific Host Terms & Conditions apply and are part of the present agreement.
4. Desk-Hub’s Role
Through or platform, Users are able to post, offer, look for and book Host Services regarding work areas. When Users make and, respectively, confirm, a reservation, an agreement is concluded, through the representation by Desk – Hub. Such agreement is concluded, through (by using) the Desk – Hub Platform, on behalf of the Host, strictly between Host and Rider in this respect . Desk-Hub does not have the capacity of agent in relation to the Users, nonetheless Desk-Hub may collect payments according to the Payment Terms. Although we use our best endeavors to make sure the Users enjoy their use of Desk-Hub, we have no control and liability with respect to the behavior and actions or inactions of Riders and Hosts and cannot guarantee (i) the conditions of the Listings with respect to their characteristics, location, amenities, neighborhood, suitability, safety, hygiene, legal status, Host legal rights, noise/ lighting level, internet access, etc., accuracy of the details offered, legal validity, security, opinions related thereto or Content provided by Users. You recognize the fact that Desk-Hub has no liability with respect to the overall supervision of the Desk-Hub Platform and the validation of the data provided by the Users, nonetheless Desk-Hub is entitled to check, remove access or amend / delete Content in order to:
(a) Prevent fraudulent actions, analyze potential risks, provide client support;
(b) Ensure the observance of the Terms by Users;
(c) Observance of the laws in force, courts decisions, or decision of competent public authorities;
(d) Prevent Content which is dangerous or offensive;
(e) Perform the measures provided by the Terms;
(f) Amend or remove Listings which do not fulfil the standards necessary to be posted on the Desk-Hub Platform.

Irrespective of the previous aspects mentioned above, for the avoidance of any doubt we stress that Desk-Hub has no property title or control over the Listings orHostServices .
5. Fees. Desk-Hub may impose fees (together with corresponding Taxes) to Hosts and Riders for use of the Desk-Hub Platform. Fees imposed for our services shall not be reimbursed to Users, unless expressly provided on the Desk-Hub Platform differently. The service fees may be amended at any moment by Desk-Hub, with a prior notice to Users in this respect. Such amendment will not apply to previous bookings until the date of the amendment. Should you dissent with respect to the fee amendment, you have the option to terminate our contractual relationship subsequently.
6. Disclaimer
Desk-Hub Platform enables Hosts to post Listings for work areas and Riders to look for and book work areas directly from the Hosts. Desk-Hub has no liability nor control with respect to the behavior of Hosts and Riders or the work areas. Fees charged by Desk-Hub shall be deemed to be compensation strictly and exclusively for Desk-Hub Services
Desk-Hub is not liable for the behavior, accuracy, security, observance of the law in force, characteristics of any Rider, Host, Host Service, Listing or third party or for the verification of the User’s identity or statements. Nonetheless, a User shall be verified only in the sense that he/she will complete a standard verification/identification process.
Desk-hub shall not be liable for third party service disorder (e.g. Internet, IT infrastructure) which may affect the services provided by the Desk-Hub Platform but which are not under its control.
Only in certain cases related to maintenance, safety or quality of our platform, Desk-Hub may decide upon prior notice and on a transitory basis, to suspend the services provided on the Desk-Hub Platform or certain characteristics thereof.
Desk-Hub has the option, but does not undertake an obligation to oversee any conflictual situation between Users regarding the services provided through the Desk-Hub Platform. Unless provided otherwise in the legislation in force, Desk-Hub is not liable for any impairment or prejudice in connection with the interactions between Users and the contracts concluded between them.
These Terms of Use include a release by you of all claims for damages against us that may arise out of your use of the Desk-Hub Service. By accessing or using the Desk-Hub Service, you are agreeing to this release.
Except for the warranties contained herein, Desk-Hub makes no other warranties express or implied, including, but not limited to, the warranty of fitness for a particular purpose, result, non-infringement of intellectual property rights, or any implied warranties arising from course of performance, course of dealing or usage of trade. The warranties contained in this article are in lieu of all other warranties, terms, representations, guarantees or liabilities, whether oral, written, express, implied or statutory, and such other warranties, terms, representations, guarantees or liabilities, at law, statute, common law, in contract, in tort, equity or otherwise are disclaimed. The warranty obligations of Desk-Hub hereunder, and User’s remedies are solely and exclusively as stated herein.
Desk-Hub does not assume any liability of any kind for any loss, damage or injury resulting from, or in connection with any service/activity/action/inaction under or in connection to these Terms .
Desk-Hub’s liability under this warranty shall be limited to correcting or performing again any non-conforming services. In any case, any financial liability of Desk-Hub for any damages, costs, expenses and losses however arising from or related to the fulfillment or the non-fulfillment of the contractual relationship herein, shall cover only direct damages, costs, expenses and losses and shall not exceed the value of the corresponding fees received by Desk-Hub.
Desk-Hub shall not be liable to User for any loss of profits, income, costs, revenue or production, nor any other direct or indirect, special, punitive, exemplary or consequential damages of any nature whatsoever or other similar damages, whether or not foreseeable at the time of entering into this contractual relationship and whether or not classified by applicable law as consequential, direct or indirect damages .User shall save, defend, indemnify, and hold Desk-Hub harmless from and against all claims asserted against or suffered by Desk-Hub by reason of, arising out of, or in any way related to, User’s use of Desk-Hub’s Services or User's negligence or willful misconduct. Without limitation, User‘s obligation to save, defend, indemnify, and hold Desk-Hub harmless shall exist with respect to accidents, occurrences, disease, injuries to persons (including death), environmental or other property damage, property or economic losses, and violation of applicable law or regulation.
User shall save, defend, indemnify and hold Desk-Hub harmless from, against, for and in respect of any claims asserted against supplier group by any third party in excess of the limitations of liability set forth under these Terms, even if the claim, loss, liability or damage result from the sole or concurrent negligence of Desk Hub.
The exclusions and limitations of liability contained herein apply to all claims, whether arising at law, statute, contract, tort, equity or otherwise.
7. Miscellaneous
7.1. Notifications . Notifications and correspondence between Users shall be performed via Desk-/Hub Platform notification, messaging (including SMS or Desk-Hub Chat), e-mail or other contact method provided by Desk-Hub.
7.2. External Services . The Desk-Hub Platform may provide external websites, applications, services (“External Services”) to which different terms and conditions shall apply, including regarding data protection. Desk-Hub has no liability regarding the External Services and any feature in connection thereto and the fact that the Desk-Hub Platform provides a link to such services does not amount to a ratification thereof.
7.3. Google Terms . Although Google is used for certain translations on the Desk-Hub Platform, it does not entail any liability of Google for the accuracy or business quality of such translations. Desk-Hub Platform sometimes enables the use of Google Maps/Earth mapping services, including Google Maps API(s). Such use of Google Maps/Earth is subject to the terms and conditions of Google Maps/Google Earth.
7.4. Emails and SMS . The administrative correspondence between you and us shall be performed via the e-mail address you provided us or additional contact data you provided for your Desk-Hub account.
7.5. Reviews. Reviews may be rendered for Host Services, by both Riders and Hosts. Please make sure you submit a correct, non-offensive and non-calumnious Review, and also that you observe our Content & Review Policy and Standards. Desk-Hub is not liable for the verification of Reviews and consequently such Reviews may contain inaccurate or deceiving information.
7.6. Assignment. Users are not entitled to assign this agreement or their rights and obligations therein without the prior written approval of Desk-Hub. Desk-Hub may assign this agreement or its rights and obligations therein without the prior written approval of the Users, at its sole discretion, with a 30 days’ prior notice. Users’ right to terminate this agreement at any time pursuant to Section 8 remains unaffected.
7.7. Referrals to other . Our other terms and policies, such as Payment Terms, Content & Review Policy and Standards, Cancellation Policy, Privacy Policy, Hosts’ Specific Terms & Conditions and any other supplemental policies, standards and terms mentioned in these General Terms & Conditions apply to your use of the Desk-Hub Platform, are incorporated by reference, and form part of your agreement with Desk-Hub.
7.8. Applicable law and Jurisdiction . Desk-Hub and User shall attempt, in good faith, to amicably solve any dispute, controversy or claim arising out of, or in connection with these Terms, whether based on contract or otherwise, including without limitation any dispute regarding the validity of these Terms or the termination, performance or breach thereof (“a/the Dispute”).
If such an amicable solution cannot be reached, any such Dispute shall be finally resolved exclusively by the competent court in Bucharest, Romania, as per article 126 of the Romanian Civil Procedure Code.
These Terms shall be governed and interpreted in accordance with the laws of Romania.
7.9. Interpretation . The Terms represent the entire agreement between Desk-Hub and Users regarding the use of the services provided through the Desk-Hub Platform, unless additional terms and conditions and other similar documents are issued by Desk-Hub in connection herein and the Terms replace all other prior oral or written agreements between Desk-Hub and Users. The rights and obligations provided by the Terms are only for Users and Desk-Hub and are not intended for third parties.
7.10. Amendment of the Terms . Desk-Hub may amend the Terms at any moment. In such case, Desk-Hub will publish the amended Terms on the Desk-Hub Platform. Desk-Hub will also provide Users a 15 days’ prior written notice via e-mail in this respect. In case you do not agree with the amended Terms, you have the right to terminate our contractual relationship, according with the Terms, and Desk-Hub will let you know in connection with this right in its notification. Should you decide not to terminate the agreement before the expiry of the 15 days’ term, you shall continue to use the Desk-Hub Platform which will amount to an acceptance of the amended Terms.
8. Termination, Suspension and final provisions.
8.1. Term . The contractual relationship between Users and Desk-Hub shall be in force until terminated by either party, according to the provisions of the Terms.
8.2. Termination . Users may terminate the contractual relationship with Desk-Hub through the deletion of their account on the Desk-Hub Platform. Nonetheless, all previous outstanding obligations according to the contractual relationship remain in force and shall be incumbent upon the Users. Desk-Hub is entitled to terminate the contractual relationship with Users for any reason by submitting a 30 days’ written notice via email or using any other contact information Users have provided for their account, the termination operating without other prior formalities or the intervention of the court of laws or the arbitral courts. Desk-Hub may also terminate the contractual relationship with Users immediately, without other prior formalities or the intervention of the court of laws or the arbitral courts and without prior notice and may stop providing access to the Desk-Hub Platform if (i) Users fail to observe the Terms or other Desk-Hub Policies, (ii) Users are not in line with the laws in force, or (iii) for security or ownership protection reasons(e.g. in the case of fraudulent conduct of a User), or (iv) inactivity of a User’s account for more than one year.
8.3. Member Infringement of the Terms and Applicable Laws . Should a User infringe the provisions of the Terms, of the laws in force, the rights of third parties, repeatedly receive negative Reviews, or Desk-Hub receives complaints regarding the User’s behavior, the User repeatedly cancels bookings, or for security and ownership protection reasons, Desk-Hub is entitled to:
● suspend or limit the access of the User to the Desk-Hub Platform and/or their account;
● suspend or delete Listings, Reviews, or other Content;
● cancel pending or confirmed bookings; or
● suspend or revoke any special status with respect to your account.
In case of minor infringements, Users will be notified with respect to any envisaged measure to be taken by Desk-Hub and the possibility to resolve the issue, unless such notification is not possible due to fraudulent or illegal activities of the User, is against the rights of other Users or third parties or is against the provisions of the laws in force.
9. Appeal. In case of any measure described at section 8.3 above, you may appeal by contacting Desk-Hub customer service.
10. Force Majeure. Desk-Hub shall not be held responsible for any delay or failure to perform its obligations resulting from an event of force majeure, as defined by the Romanian Civil Code.
11. Effect of Termination. When a Host deletes his/her Desk-Hub account, any confirmed reservation(s) will be automatically cancelled and their Riders will receive a full reimbursement. When a Rider deletes his/her account, any confirmed reservation(s) will be automatically cancelled and any refund will depend upon the terms of the Listing’s cancellation policy. Should a User delete his/her account, he/she is not entitled to a restoration of his/her account or any of his/her Content. Should the access of a User or his/her account be suspended by Desk-Hub or the contractual relationship be terminated by Desk-Hub, the respective User may not register a new account or access or use the Desk-Hub Platform through an account of another User.

Specific Hosts Terms and Conditions
These are Specific Hosts Terms and Conditions (“ Specific Hosts Terms and Conditions”) apply specifically to Hosts on the Desk-Hub Platform and are a binding legal agreement between you (as Host) and Desk-Hub (as Service Provider) regarding the provision by Desk-Hub of certain intermediation services through the Desk-Hub Platform.
In addition to these Specific Hosts Terms and Conditions, other specific terms and policies apply to the use of the Desk-Hub Platform, as follows: our General Terms & Conditions, our Data Protection Policy, which describes our collection and use of personal data, our Payment Terms, regulating the method of payment for the participants to the Desk Hub Platform, our Content & Review Policy and Standards, our Cancellation Policy.
Your acknowledgement and acceptance of these Specific Hosts Terms and Conditions extends also to the aforementioned specific terms and policies, if applicable to your situation.
These Specific Hosts Terms and Conditions and the rest of the Desk Hub terms and conditions, policies, etc., including those mentioned above, are to be applied and interpreted together and not to be treated independently. The terminology used below is as per the General Terms & Conditions.
Any referral in these Specific Hosts Terms and Conditions to “Desk-Hub”, “we”, “us”, or “our” shall be construed as to be one to the Desk-Hub entity (“Desk-Hub”).

A Desk-Hub User can become a Host by setting up a Host Account on Desk-Hub Platform. By registering a Host account on Desk-Hub platform you agree to follow the rules/provisions below, i.e. the Specific Hosts Terms and Conditions, along with the rest of the Desk Hub terms and conditions, policies, etc., including those mentioned above.
1. A Host is a person or businesses/ company acting rightfully as a space owner, or having the right to manage/dispose of, or having the right to use and sublet an area (location) suitable to accommodate flexible office work for defined period of time. Desk-Hub is entitled to ask for and keep on records the proof of ownership or right to use and sublet, manage/dispose of the Listed work area. As a Host you agree and undertake to provide any document/information in this respect and to warrant that any such document/information is accurate, complete and up to date. Desk Hub’s receipt and/or record keeping of any such document does not generate and shall not be deemed as Desk Hub undertaking or accepting any obligation to audit/check/verify or ensure or any liability for the existence, extent, accuracy, enforceability, etc. of any such ownership or right to use and sublet, manage/dispose of the Listed work area. Host remains fully and exclusively liable, to Rider or to any other User or to any other third-party, in this respect and Desk Hub shall have no obligation or liability whatsoever with regard to such matters.
2. Fees. Desk-Hub Platform offers to Hosts the means and opportunity to list their locations and services free of charge. Desk-Hub is empowered by Host to negotiate and perform, on behalf of the Host, the sale of the Host services, via the Desk – Hub platform and Desk-Hub charges its intermediary Service fee based on bookings only. Desk-Hub Payment Terms & Cancellation Policy Terms, as well as the rest of the Desk Hub terms and conditions, policies, etc., apply. The fee is charged as percentage of your Host services, as indicated when you complete your Listing.
You, as Host, herby agree to pay the 10% Service fee from the amount contracted and paid by the Rider, and additional transfer fees that may occur.
There will be no Service fee charged for bookings cancelled and fully reimbursed according to the provisions of the Cancellation Policy.
Should any supplementary terms or conditions apply to your contractual relationship with Riders, you undertake that such terms or conditions are consistent with these Specific Hosts Terms and Conditions and the rest of the Desk Hub terms and conditions, policies, etc. and the data you provided in your Listing. These supplementary terms or conditions (e.g. House Rules) have to be clearly disclosed in Listing description/ additional information.
3. In your capacity as Host, you are liable for knowing and abiding with all laws, regulations and contracts with third parties applicable to your Host Services.
It is important to note that while Desk-Hub is empowered to represent you during the negotiation and sale of your Host Services, it has no influence / liability with respect to those Hoste Services themselves. Particularly, you are solely liable and Desk-Hub does not accept any liability, responsibility, etc. with respect to
- any approvals, permits, etc. necessary to you as a Host or to the Work area;
- any health and safety, hygiene, fire protection etc. issues regarding the Work area or the location/building where the Work area is placed;
- any reporting obligation related to the rental of the Work area and the provision of the Host Services;
- any reporting / tax / money laundering prevention / terrorist activities financing prevention obligation incumbent on you as a result of any financial amounts due to you or received as a result of your rental of the Work area and the provision of the Host Services;
- any legal obligations incumbent on you further to any applicable laws and regulations.
4. Designing and Controlling Your Listing . The Desk-Hub Platform grants instruments that enable you to create and control a Listing. Your Listing must comprise thorough and correct information in connection with your Host Service (Work area), your price, other charges applicable (e.g. facilities, etc.) and any rules or demands that apply to your Riders or Listing. Any terms or conditions that you include additionally and therefore apply to your contractual relationship with Riders must: (i) be in line with Desk-Hub’s General Terms & Conditions, current Specific Hosts Terms & Conditions, our Policies, and the information comprised in your Listing, and (ii) be visibly and prominently disclosed and published in your Listing depiction.
In order for the “Listing” to be available for bookings by Riders, the Host must set the status of the “Listing” to Published.
You may only maintain one Listing per Work area, but may have multiple Listings for a single property location if it has multiple types of workplaces for use (Hot Desk, Private Office, Team Room, Meeting Room and Daily Pass).
You are solely liable and Desk-Hub does not accept any liability, responsibility, etc. for your actions and inactions as well as for making sure that your Listing information (including period availability) and Content (such as photos) are up-to-date and correct at any time.
You are solely liable and Desk-Hub does not accept any liability, responsibility, etc.for establishing your price and rules and demands regarding your Listing. You must detail any and all fees and charges in your Listing depiction. Desk-Hub will represent you during the negotiation and sale of your Host Services, via the Desk-Hub Platform, based on the price that you yourself, as Host providing the Host Services, have established.
5. Further Representations and Warranties
Apart from any other representations and warranties in the Terms of Use, you represent and warrant that:
• any Work area you offer for booking hereunder is free of any known conditions or defaults that would place in jeopardy or risk the security of any Rider, including but not limited to health and safety, hygiene, fire protection etc.;
And
• you have the proper rights with respect to the Work area to provide the Host Services in your capacity as Host, including any applicable permits, and your providing of the Host Services as a Host will not infringe or result in the infringement of any agreement between you and any third party, including any lease agreement or other agreement relating to the Work area or of any legal obligations / restrictions incumbent on you further to any applicable laws and regulations.
6. After the receipt of a booking confirmation through the Desk-Hub Platform, an agreement is concluded on your behalf, directly with the Rider, and you are liable for performing the Host Service according to the terms and at the price provided in your Listing. The conclusion of the agreement between you, as Host, and the Rider, takes place through (by using) the Desk – Hub Platform.
Desk-Hub only represents you for the negotiation and sale of your Host ServicesThere but Desk-Hub does not guarantee or in any way nor does it accepts liability for your receipt of the corresponding Price or for any issues relating to the use by a Rider of the Work area and related Host Services.
You are also accepting and undertaking the obligation to pay applicable fees such as Desk-Hub’s Service fee (and corresponding taxes) for each booking.
7. You undertake not to advise Riders to initiate third-party accounts, publish Reviews, offer their contact information, or take other actions outside the Desk-Hub Platform.
8. Insurance . Desk-Hub shall not grant any guarantee or insurance for Users of Desk-Hub Platform which could become your Clients as “Riders”. We advise you conclude proper insurance for your Host Services and recommend you thoroughly review terms and conditions for aspects such as coverage details and exclusions.
Payments
9. When using Desk-Hub platform, all online payments are made through Desk-Hub. Desk-Hub will submit payments received from Riders for your Host services (called “Payouts”) within a term of 15 days as of the end of the month in which the payment from Rider was collected, in the amount equal to the services you have provided less Desk-Hub Fee (including Service fee) and taxes applicable. Your Host account will include an invoice for each booking detailing the financial standing on your account.
10. Your Payout Method, Your Liability. You are fully responsible for the correctness of data you provide into your Desk-Hub account, or on Desk-Hub platform, including all Pay-out Method information. Desk-Hub is not responsible for any loss incurred by you as a consequence of inaccurate PayoutMethod information provided by you.
11. Payment Service Providers. Pay-out Methods may involve the use of third-party payment service providers. These service providers may charge you additional fees when processing Pay-outs in connection with the Payment Services (including deducting charges from the Pay-out amount), and Desk-Hub is not liable for any such fees or for any actions/measures/activities by such third-party payment service providers and disclaims all liability in this regard. Your PayoutMethod may also be subject to supplementary terms of use. Please review them before using your Payout Method.
12. Currency Exchange . Desk-Hub will remit your Payoutsin the currency you chose through the Desk-Hub Platform. The currencies at hand may be restricted for administrative or organizational rationale based on consideration such as your designated PayoutMethod, your country of residence, and/or your Desk-Hub contracting entity(ies). Any such restrictions will be notified via the Desk-Hub Platform, and you will be determined to choose a different currency or Payout Method. Kindly be informed that payment service providers may demand transaction, currency exchange or other fees according to the currency or PayoutMethod you choose, and Desk-Hub is not liable for any such fees or for any damages, however caused and whatever might be the nature or amount thereof resulting from or related to any currency exchange and rejects any and all responsibility in this respect.
13. Payout Restrictions. Desk-Hub may briefly place a hold, postpone, or annul any Payout in order to avert illicit acts or fraud, risk analysis, safety, or concluding an inquiry; or if we are unable to check your identity. Moreover, Desk-Hub may briefly place a hold on, postpone, or holdup launching or handling any Payouts owed to you according to the Terms as a consequence of abundant Booking cancellations or amendments arising from a Force Majeure Event (as defined below).
14. Desk-Hub hereby rejects any liability regarding any dysfunctionality of the Payout Method or of Desk-Hub, regardless if caused by Desk-Hub or by a third party payment services providers.
15. Payments by Riders at Host Location
For a limited time, the DeskHub platform may offer through its booking systems the option for Riders to “Pay at location”, thus payment for the services booked will be made directly to Host. For Riders to have this option, initially the Host confirms this payment availability when creating each Listing.
When bookings are made using the Option to “pay at location”, the Host undertakes to submit payment to Desk Hub for Desk-Hub Fee (including Service fee) and taxes applicable within maximum 5 days of booking, as per the invoice issued by Desk-Hub. All other invoicing, reporting and other Terms & Conditions remain applicable unchanged.
If the Host does not make the payment in the aforementioned time, the Host is in breach of the present contract, automatically giving Desk Hub the right to the following, at Desk-Hub’s sole discretion:
- Desk-Hub will withhold the amounts due from the Host’s future payouts;
- Desk Hub is entitled to immediately terminate the Host account and proceed legal action to recuperate the amounts to which Desk-Hub is entitled for the intermediary services through the Desk-Hub Platform.
Cancellations
16. Each Host will benefit from the below Cancellation Policy Option, applicable to his account for all types of Work areas, be it hot desk, private office, meeting room, team room or daily pass:
Cancellation Policy
Riders may cancel confirmed Bookings and receive a full refund (minus transaction fees and taxes, if applicable) for cancellations made 24 hours before booking start time. After that, there will be in addition a charge of 1st day of booking for cancelled services.
Transaction costs will not be refunded and will be deducted from the total amount to be refunded.
17. If a Rider cancels a booking, the amount paid to you is determined by the Cancellation Policy that applies to that booking, less Desk-Hub Service fee and transaction costs incurred by Desk-Hub.
18. If the Rider cancels their booking, Desk-Hub will notify the Host via e-mail and automatically unblock the dates on the calendar so that the work areas becomes available for other Riders.
19. In your capacity as Host, you should not cancel the booking of a Rider without a sound reason. If a booking is cancelled, the amount you are paid will be diminished by the amount we reimburse or otherwise make available to the Rider, and by any other acceptable costs we encounter as a consequence of the cancellation. If a Rider obtains a reimbursement after you have already been paid, or the amount of the reimbursement and other costs encountered by Desk-Hub exceeds your payout, Desk-Hub may recuperate that amount from you, including by compensating the reimbursement against your future payouts. You consent that these Specific Hosts Terms and Conditions supersede and take precedence over the cancellation policy you establish in those situations where they permit the cancellation of a booking and/or the disbursement of reimbursements to Riders. If we acceptably anticipate to provide a reimbursement to a Rider according to our policies, we may holdup discharge of any payout for that booking until a reimbursement decision is taken. Refer to Desk Hub’s Cancellation Policy for details about what is comprised, and what your disbursement will be in each case at hand.
Desk Hub hereby rejects any liability and Host agrees to hold Desk-Hub harmless and to save, defend and indemnify Desk Hub with respect to and from any damages, claims, complaints, etc. deriving from Desk Hub’s implementing of its cancellation policy, including in terms of payouts, reimbursements to Riders, etc.
20. Hosts Reasons for cancellation
In addition to other provisions in this respect, in your capacity as Host, you may cancel a booking and/or your contractual relationship to Desk-Hub if a contract has been concluded with respect to the sale of the Building. You may also postpone the provision of services (comprising the access to the Work area) in case that the Work area or the Building is subject to refurbishment or restoration, in which event the Riders will be transferred to another work area within the Building, or if necessary, to another Building, all at the Host’s acceptable cost.
The Host shall terminate a booking and/or its contractual relationship to Desk-Hub only in those cases and under such terms and conditions as provided in these Specific Hosts Terms and Conditions or in the rest of the Desk Hub terms and conditions, policies, etc.,
What occurs when you cancel a booking?
21. Cancellation Fee. You will be charged a fee if you cancel a confirmed booking. Typically, we deduct that fee from your first payout after the cancellation. The amount deducted will depend on how soon before check-in (booking starting date) you cancelled it and other applicable charges encountered by the respective booking:
§ full refund (minus transaction fees) 5 days before booking start date; after that, an additional cancellation fee equivalent to 1st day of booking plus 15% of remaining period for cancelled services, will be applied.
Transaction costs will not be refunded and will be deducted from the total amount to be refunded. The sum will be collected from your balance or from next disbursement, or by invoicing you.
These rules apply for all types of Work areas, be it hot desk, private office, meeting room, team room and daily pass.
We hereby inform you that no additional notification regarding the charged Service fee will be sent to you, before you complete a cancellation.
22. Public Review. If you cancel before commencement day of the booking, an automated Review may be published to your Listing's profile suggesting that you cancelled one of your bookings. These Reviews can't be deleted, but you may be able to write a public reply to explain the reason to cancel.
Even if you cancel a booking, Riders have the option to leave a public Review on your Listing’s profile.
23. Account suspension and deactivation. If you cancel 3 or more bookings within a year, we may suspend or deactivate your Listing. If you cancel multiple bookings, your listing will be temporarily deactivated and removed from search results.
24. Unavailable work area. If, for whatever rationale, you in your capacity as Host are unable to provide use of the Work area at the envisaged commencement of the Term (Booking starting time), the Rider has the right to cancel the Booking with no penalty and shall be entitled to a full reimbursements of amounts paid, while the Host will incur a Penalty Fee equal to the value of 1 st day of booking plus 15% of remaining period of cancelled services, plus transaction costs.
Empowerment
25. You, as Host, hereby empower Desk-Hub to represent you during the negotiation and sale of your Host Services as well as to collect from Riders (when the proper third-party payment service will be in place) and submit to you, subject to deduction of Desk-Hub Fee (including Service fee) and taxes applicable, any and all Payouts.
Miscellaneous
25. Search Ranking . The ranking of Listings in search results on the Desk-Hub Platform depends on an assortment of issues, including these main criteria:
- Riders search criteria (e.g. location, type of office, number of Riders, time and duration of the booking, price range, tariff type: hourly, daily, monthly);
- Listing particulars (such as price, time accessibility, number and quality of images, Reviews, Host Service kind);
- Rider booking experience (such as client service and cancellation background of the Host);
- Rider predilections (such as preceding journeys, location from where the Rider is looking for).
Search results may appear different on our mobile view than they appear on our website.
Desk-Hub may permit Hosts to advertise their Listings in search or somewhere else on the Desk-Hub Platform. Additional fees may apply.
26. Host Charges . In your capacity as Host, you are liable for defining and accomplishing your obligations according to the laws in force to declare, accumulate, transfer or comprise in your price any applicable VAT or other indirect taxes, tenancy taxes, income or other taxes ("Taxes") in relation to your use or Desk-Hub’s provision of the Service.
27. Indemnification. To the maximum extent permitted by applicable law, you consent to discharge, defend (at Desk-Hub’s option), indemnify, and hold Desk-Hub, other affiliates, and their personnel) harmless from and against any demands, responsibilities, prejudice, losses, and charges, including, without limitation, acceptable legal and accounting fees, arising out of or in any manner with respect to: (i) your infringement of these Specific Hosts Terms and Conditions (including any additional terms that apply to a product or characteristic) or our Policies or Standards, (ii) your inappropriate use of the Desk-Hub Platform, (iii) your interaction with any User, usage of a work area and/ or ancillaries or other Host Service, including without limitation any wounds, losses or prejudices (whether offsetting, direct, incidental, material or otherwise) of any kind arising with respect to or as a consequence of such interaction, or use, (iv) your negligence, or our negligence at your direction, to correctly declare, accumulate or transfer Taxes, (v) Desk – Hub performance of its intermediary services, including without limitation any and all of Desk – Hub actions or inactions is with respect to negotiating and performing, on behalf of the Host, the sale of the Host services, (vi) any Desk-Hub actions or inactions with respect to its management, collection, submission, etc. of Payouts or (vii) your infringement of any laws, regulations or third party rights such as intellectual property or data protection rights.
28. Data Access. Hosts have access to personal and other data in their Desk-Hub account and Host control panel which is provided by the User, their Riders or generated through the use of the Desk-Hub Platform and which is necessary for the performance of their Host Services as well as aggregated information about searches, bookings and the performance of their Listings. Our Data Protection Policy sets out the categories of personal data and other data we collect, how we use, process, reveal and preserve it, and how you can access it and exercise your data protection rights.
29. Supplementary Distribution Channels. Desk-Hub operates an affiliate program through which Listings may be highlighted on third party websites, such as those for media outlets, loyalty programs, and search aggregators. Listings may also appear in advertisements for Desk-Hub posted on third party websites from time to time. You, as a Host, hereby agree to and accept the use of such supplementary distribution channels and Desk-Hub rejects any liability deriving from such use.
30. Complaints Management and Mediation. If any issues or concerns are raised in the collaboration with Desk-Hub, you may appeal an applied measure by contacting our client service. Parties will attempt to solve all issues amiably.
31. Applicable law and Jurisdiction . Desk-Hub and Host shall attempt, in good faith, to amicably solve any dispute, controversy or claim arising out of, or in connection with these Specific Hosts Terms and Conditions, whether based on contract or otherwise, including without limitation any dispute regarding the validity of these Specific Hosts Terms and Conditions or the termination, performance or breach thereof (“a/the Dispute”).
If such an amicable solution cannot be reached, any such Dispute shall be finally resolved exclusively by the competent court in Bucharest, Romania, as per article 126 of the Romanian Civil Procedure Code.
These Specific Hosts Terms and Conditions shall be governed and interpreted in accordance with the laws of Romania.

By registering an account on Desk-Hub Platform you undertake to abstain from encouraging other Users or third parties to elude these rules.
1. Content
1.1. The Desk-Hub Platform grants Users the possibility to provide opinions, descriptions, photographs, videos and other similar content (“ Content”). Please abstain from providing Content which comprises personal data, unless you make sure data protection laws are observed, as well as our Data Protection Policy. When you provide the Desk-Hub Platform with Content subject to copyright, you grant Desk-Hub a such rights, under such terms and conditions as per terms and conditions will be drafted in this respect. Users are the only ones liable for the Content provided and guarantee that they own it or are authorized to grant Desk-Hub the rights referred to above in these Terms. Users are the only ones liable in case their Content infringes the intellectual property or privacy rights of any third party. Content shall not be indecent, unfair, deceiving, abusing or illegal. Users acknowledge that Desk-Hub may use automated tools to translate Content and that their Content may be translated using such services or tools. Desk-Hub is not liable for the accuracy or quality of translations and Users are liable for confirming the accuracy of such translations.
1.2. When publishing Content on Desk-Hub Platform, Users consent to observe the current Policy. We reserve the right to delete any Content, in whole or part, which infringes this Policy, our General Terms & Conditions or for any other reasonable motive, at our sole discretion.

We kindly ask Users to inform us in case they know of or are subject to conduct against Desk-hub policies.
In case of continuous or severe infringements, Desk-Hub shall be entitled to suspend or permanently deactivate the account(s) in question.
Users may report the Content directly or contact us to report Content that seems to infringe this Policy.
Desk Hub has the right but no obligation or responsibility to analyze, either prior to or after publication, any Content submitted in order to confirm compliance of such Content with these Content and Review Policy and Standards or with any other specific terms and policies that apply to the use of the Desk-Hub Platform or the existence/extent of User copyright/intellectual property rights with respect to said Content.
Publication of any Content does not imply compliance of such Content with these Content and Review Policy and Standards or with any other specific terms and policies that apply to the use of the Desk-Hub Platform or with any copyright/intellectual property/etc. legislation.
Users provide Content on their own liability and are fully, solely and exclusively liable for any damages due to their non-compliance with these Content and Review Policy and Standards or with any other specific terms and policies that apply to the use of the Desk-Hub Platform or with any copyright/intellectual property/etc. legislation.
Desk Hub’s rejects any liability and User remains fully and exclusively liable, to Desk-Hub, any other User or any other third-party, in this respect, and Desk Hub shall have no obligation or liability whatsoever with regard to such matters.
For Hosts - How should recommended content look like?
Listings/ Work areas should be as attractive as possible for your client, the Rider. What does attractiveness look like for a working space? Here’s some suggestions:
· Add your Listing, with its specifics about location, details on work areas and capacities
Photos – don’t just let Riders picture from your description (although important too), but put some clear, qualitative, real photos to it: with building, office space, surroundings, amenities (e.g. have you equipped your meeting room with high technology? Then here’s where you should totally show off! Still, you shouldn’t overdo it: clean and easy). Always keeping in mind our values: respect for our time (be it Rider, Host, or Desk-Hub platform), and ease of being (quick, smart, adaptable, secure).
· Every work area should have a unique name or number. So, you won’t get confused if you have four hot-desks, at different floors in the building. Easy and transparent tracking, maintains you and Riders away from confusions.
· Transparency of words, and no misleading effects.
2. Review
In connection with a Host Service, Riders and Hosts may review each other. Users’ Review must be correct and shall not be biased, abusive, calumnious or use language that infringes our Content & Review Policy.
Review Writing – make it count as relevant and trustworthy
Reviews offer Users data and awareness that enables them make optimum booking related decisions.
Desk-Hub wishes to make sure that Reviews confer confidence to Users, that they are correct, and not biased nor deceitful.
We can interfere in mediating for appropriateness, but this is not recommended behavior. You should be your own quality-controller, and give accurate and unbiased comments.
Desk-Hub's Review Standards
In order for Desk-Hub Platform to be trustworthy, we demand from our Users that their Reviews are practical, instructive and inoffensive. Consequently, Reviews shall observe the following:
1. Reviews and reviewers should respect the present Content & Review Policy.
2. Reviews should not be discriminative.
· Reviews are useful when they provide non-discriminatory and impartial information. Consequently, we don't permit natural persons or legal entities who own or are affiliated with a Listing to publish Reviews of their business. Desk-Hub also prohibits individuals which offer competing Listings or experiences to post Reviews of their direct competitors.
· Desk-Hub prohibits Users to stimulate positive Reviews, to resort to coercion of a negative Review to obtain an envisaged impact, or to influence another User’s Review with the commitment of indemnification.
· Desk-Hub prohibits Users to accept fake bookings in exchange for a positive Review, use a second account to leave himself/herself a Review, or conspire with business partners to get positive Reviews.
· Subsequently, Reviews might be deleted from the Desk-Hub Platform for bookings, in case of a severe infringement of Desk-Hub Policies and Standards, in form of conduit or procedures, has been reported or monitored.
3. Reviews should be pertinent.
Users should make sure that their Reviews are pertinent for the Desk-Hub Platform, given that Riders reading the respective Reviews endeavor to get information about the Host and their Listing. Reviews which are irrelevant can be confusing and don’t enable other Riders make optimum booking decisions. This is why, Reviews should refer to your collaboration with other Users and your time using the services provided through the Desk-Hub Platform.
Desk-Hub prohibits
If you construe that a Review is misleading, you may report this by sending us an e-mail.

3.2. To report a violation of Desk-Hub’s Content & Review Policy and Standards, please contact us.
3.3. Disclaimer . While we motivate and expect all Users to publish Reviews that contain unbiased and correct information, Desk-Hub doesn’t mediate disputes concerning the accuracy of Reviews. We expect the author of the Review to stand liable for the content of their Review.
3.4. Applicable law and Jurisdiction . Desk-Hub and User shall attempt, in good faith, to amicably solve any dispute, controversy or claim arising out of, or in connection with these Content and Review Policy and Standards, whether based on contract or otherwise, including without limitation any dispute regarding the validity of these Content and Review Policy and Standards or the termination, performance or breach thereof (“a/the Dispute”).
If such an amicable solution cannot be reached, any such Dispute shall be finally resolved exclusively by the competent court in Bucharest, Romania, as per article 126 of the Romanian Civil Procedure Code.
These Content and Review Policy and Standards shall be governed and interpreted in accordance with the laws of Romania.
Payment Terms and Cancellation Policy
Payment Terms
These Payments Terms of Service for Desk-Hub Users (“ Payments Terms”) are a mandatory legal contract between you and Desk-Hub that rule the Payment Services (defined below) carried out through or in connection with the Desk-Hub Platform.
Any referral in the Payments Terms to “Desk-Hub”, “we”, “ us”, or “our”, shall be to Desk-Hub Technologies SRL (“Desk-Hub”) with Headquarters in Romania.

In relation to the use of the Desk-Hub Platform Desk-Hub may:
● Collect (exclusively through proper third-party payment services, upon their integration into the Desk – Hub Platform) payments from Riders (“Pay-in”), by charging the payment method associated with their Desk-Hub account, such as credit or debit card operated via well established authorized financial services solution "Payment Method"
● Make payments to Hosts or Third Parties (“Pay-out”) as set up in the Hosts Account to a financial instrument associated with their Desk-hub account, such as a bank account (“Pay-out Method ”);
● Other payment related activities with respect to the Host Services.
You must be over 18 years old to use the Desk-Hub Platform, you must have a Desk-Hub account in good standing in accordance with the Desk-Hub General Terms and Conditions (“Terms”), and you must keep your payment and personal data correct and thorough.
1.1. Billing. Desk-Hub will ask for your credit card information and billing address or other payment information as requested by the payment processing specialized company and Desk-Hub will process your Fee payment on behalf of the Host. (the “Desk-Hub Billing Option”). The data collection & payment processes will be handled by online payment service provider (PayU, or similar financial services solution).
1.2. Adding a Payment Method. In case you add a Payment Method to your Desk-Hub account, you will have to provide billing information such as name, billing address, and financial instrument information either to Desk-Hub or its third-party payment processor(s). You permit Desk-Hub and its payment service providers to collect and save your Payment Method information (if performed by payment service providers, governed separately by their own Terms & Conditions).
Any such adding of a Payment Method is done at your sole risk and responsibility and Desk-Hub does not accept any liability in relation thereto.
1.3. Payment Permission. You permit that Desk-Hub charges your Payment Method (including charging more than one payment method), either directly or indirectly, for all fees due (comprising any applicable taxes) in connection with your Desk-Hub account. When you complete a booking for a Work area on Desk-Hub platform, you consent to pay all applicable fees for using the work area as presented in the Listing for such work area, and in these Payment Terms. You consent to the fees and charges and other pricing terms applicable to your use of the Service as specified in these Payment Terms and as otherwise notified to you through Desk-Hub Platform, including any applicable Fees (defined below) and Service Fee (defined below).
If you are a Host, please be aware and bear in mind that while Desk-Hub is empowered to represent you during the negotiation and sale of your Host Services, via the Desk – Hub platform, Desk-Hub does not accept any liability in relation to a Rider actually ordering/initiating the necessary payments for the Host Services provided, or for its financial good standing, creditworthiness, etc.
If you are a Rider please be aware and bear in mind that Desk-Hub does not accept any liability in relation your benefiting from any Host Services in return for any payments you may order/initiate through the Desk-Hub Platform. Furthermore, Desk-Hub is in no way empowered to represent you during the negotiation and sale of the Host Services.
1.4. Scheduling of payment. The payment is processed at the time of booking. Cancelling the booking may result in applicable fees deducted as per the Cancellation Policy presented below. A confirmation email will be sent to your subscribed address – when the booking is completed, or status is changed (if the booking is cancelled by either Rider or Host, both get notified by email).
1.5. Unprocessed payment. If, for any reason, the payment is not confirmed, the booking is automatically cancelled.
1.6. The Desk-Hub Account. Desk-Hub may provide functionality that permits you to authorize other or third parties to take certain actions that affect your Desk-Hub account. You may authorize a third party to use your Desk-Hub account if the feature is activated for your Desk-Hub account. You accept and consent that anyone you authorize to use your Desk-Hub account may use the Payment Services on your behalf and that you will be liable for any payments made by such person.
1.7. Validation. You authorize Desk-Hub, directly or through third parties, to make any investigations we deem necessary to verify your identity. This may comprise (i) scanning you against third-party databases or other sources, (ii) demanding reports from service providers, (iii) asking you to provide a form of government identification (e.g., identity card, driver’s license or passport), your date of birth, your address, and other information; or (iv) demanding you to confirm ownership of your email address, Payment Method(s) or Pay-out Method. Desk-Hub Payments reserves the right to terminate, suspend, or limit access to the Payment Services in case we are unable to obtain or verify any of this information.
1.8. Currency. Desk-Hub will process each transaction in the currency you select via the Desk-Hub Platform. The currencies accessible to perform payments may be limited for administrative or organizational reasons based on factors such as your selected Payment Method, your country of residence and/or your Desk-Hub contracting entity(ies). Any such restrictions will be notified via the Desk-Hub Platform, and you will be determined to select a different currency or Payment Method. Note that if your Desk-Hub contracting entity’s location is different than the country of your Payment Method or your selected currency is different than your Payment Method's billing currency, your payment may be processed outside of your country of residence. As a result, certain fees might be applicable and the amount listed on your card statement may be different from the amount shown at checkout. E.g., if you perform a booking using a U.S. card, but choose Euro as your currency, your payment may be processed outside the U.S., and banks and credit card companies may charge international transaction fees and foreign exchange fees.
Moreover, if you choose to pay with another type of currency than your Payment Method's billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with your Payment Method, based on an exchange rate and fee amount determined only by your bank. Desk-Hub is not in any way liable for any such fees and Desk-Hub and disclaims all liability in this respect, and more generally any liability in relation to any actions/activities/services performed by your bank or credit card company. Please contact your bank or credit card company in case you have any queries about these fees or the applicable exchange rate.
1.9. Supplementary Terms. Your access to or use of certain functionalities of the Desk-Hub Platform may be subject to, or require you to accept, supplementary terms and conditions. If there is a conflict between these Payments Terms and terms and conditions applicable to a specific functionality of the Desk-Hub Platform, the latter terms and conditions will take precedence with respect to your use of or access to that functionality, unless specified otherwise. The data collection & payment processes will be handled by PayU, or similar financial services solution, please check their Terms & Policies.
Desk-Hub does not accept any liability in relation to any actions/activities/services performed by PayU or similar financial services solution.
1.10. All Fees and taxes paid by Users are non-refundable, except as expressly stated in this Agreement. Desk-Hub may amend the fees and charges for the Service at any time in its sole discretion.
Payment Processing Inaccuracies
1.11. Desk-Hub will take the necessary steps to correct any payment processing inaccuracies that we become aware of. These steps may comprise crediting or debiting (as appropriate) the original Pay-out Method or Payment Method used or selected by you, so that you end up receiving or paying the accurate amount. This may be performed by Desk-Hub or a third party such as your financial institution. We may also take steps to recuperate amounts sent to you in error (including but not limited to an event of duplicate payments made to you due to a processing inaccuracy), by reducing, setting off and/or debiting the amount of such amounts from any future Pay-outs due to you.
1.12. In case you receive any funds in error, you consent to immediately return such funds to Desk-Hub.
Reimbursements
1.13. Any reimbursements or credits due to a User pursuant to the Terms will be initiated and paid by Desk-Hub in accordance with these Payments Terms.
1.14. Subject to this Section Desk-Hub will process refunds immediately, however, the timing to receive any refund will depend on the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) rules. In case of a Force Majeure Event that may affect the processing and settlement of reimbursements, Desk-Hub will initiate and process the reimbursement as soon as possible.
1.15. Each Host hereby consents, agrees and empowers Desk-Hub as the Host’s attorney in fact and agent only for the limited purpose of accepting and processing amounts from Riders purchasing Work area Services on the Host’s behalf.
1.16. Each Host, hereby acknowledges, consents and agrees that payment made by a Rider through Desk-Hub Payments, shall be construed the same as a payment made directly to the Host, and the Host will provide the Work area Service booked by the Rider in the agreed-upon manner as if the Host has received the payment directly from the Rider. Each Host hereby acknowledges, consents and agrees that Desk-Hub may reimburse the Rider according with the Terms. Each Host hereby acknowledges, consents and agrees that Desk-Hub’s obligation to pay the Host is subject to and conditional upon successful receipt of the associated payments from Rider. Desk-Hub guarantees payments to Host(s) only for such amounts that have been successfully received by Desk-Hub from Riders in accordance with these Payments Terms. Desk-Hub does not accept any liability in relation to a Rider actually ordering/initiating the necessary payments for the Host Services you provide, or for its financial good standing, creditworthiness, etc. Desk-Hub assumes no responsibility for any acts or omissions of the Host.
1.17. Each Rider admits and consents that, notwithstanding the fact that Desk-Hub is not a party to the agreement between you and the Host(s), Desk-Hub acts as each Host’s attorney in fact and agent for the sole purpose of accepting payments from you on behalf of the Host(s). After a Rider’s payment of the amounts to Desk-Hub, the Rider’s payment obligation to the Host(s) for the agreed upon amount is extinguished, and Desk-Hub is liable for paying the amounts successfully received by Desk-Hub to the Host(s) in the manner described in these Payments Terms. No agency agreement and in general no empowerment of any kind exists between Rider and Desk-Hub.
In the event that Desk-Hub does not pay any such amounts, the Host(s) will have recourse only against Desk-Hub and not the Rider directly.
However, please note that Desk-Hub does not accept any liability in relation to your benefiting from any Host Services in return for any payments you may order/initiate through the Desk-Hub Platform.
1.18. Additionally, for Desk-Hub’s activity as attorney in fact and agent of the Host a service fee (“Service fee”) will be charged to the Host. Hosts’ Specific Terms & Conditions shall comprise details on applicability, percentage and payment.
Force Majeure
1.19. Desk-Hub shall not be responsible for any delay or failure to perform any obligation under these Payments Terms resulting from causes outside the reasonable control of Desk-Hub, including, without limitations, acts of God, natural disasters, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials (“ForceMajeure Event ”).
Waivers
1.20. If you choose to use the payment functionalities of the Desk-Hub Platform, you do so willingly and at your own risk. To the maximum extent allowed by the legislation in force, the payment functionalities of the Desk-Hub Platform are provided “as is”, without warranty of any kind, either express or implied.
1.21. Despite Desk-Hub’s role and activity as attorney in fact and agent of the Host designation as the restricted payment collection agent of Hosts, Desk-Hub explicitly disowns all responsibility for any act or omission of any User or other third party. Desk-Hub does not have any duties or obligations as agent for each Host except to the extent expressly set forth in these Payments Terms, and any additional duties or obligations as may be provided by the legislation in force are, to the maximum extent permitted by applicable legislation, expressly excluded.
1.22. If we choose to conduct identity validation on any User, to the extent allowed by the legislation in force, we disown guarantees of any kind, either express or implied, that such checks will identify prior fraud by a User or guarantee that a User will not engage in fraud in the future.
1.23. The foregoing waivers apply to the maximum extent allowed by the legislation in force. You may have other statutory rights or guarantees which cannot lawfully be excluded. However, the duration of any statutorily required guarantees shall be restricted to the maximum extent (if any) allowed by the legislation in force.
2. Cancellation Policy for Riders
2.1. Booking cancelled by the Host
While Desk-Hub is encouraging honoring all bookings, Hosts may cancel if unforeseen situations arise (technical problems, rehabilitation works, emergencies making the work area unavailable etc.). If a Host cannot fulfill a bookinng for any reason, it is their liability to cancel in a timely manner to allow their Rider to adjust their plans.
The Rider will receive an e-mail Notification upon Cancelled booking by the Host.
If a confirmed booking (with payment in progress, or finalized) is cancelled by the Host (caused by technical, or other issues), any amounts collected by Desk-Hub Payments will be reimbursed to you, and any pre-authorization of your Payment Method will be released (if applicable).
The scheduling to receive the reimbursement or for the pre-authorization to be released will differ according the Payment Method and any applicable payment system (e.g., Visa, MasterCard, etc.) rules.
2.2. Booking cancelled by the Rider. If you decide to or cancel a confirmed booking, the following rules will apply, depending on Host rules (check Host House Rules for each booking):

2.3. Cancellation Fee. You will be charged a fee if you cancel a confirmed booking as presented above. The amount deducted will depend on the time of cancellation before check-in (booking starting date/ time), and what kind of cancellation plan has your Host applied. Details for each Booking are to be found in Account > Reservation Manager > Manage Booking.
2.4. The Work area is accepted by the Rider in its “as-is” “where-is” condition and layout. If, for whatever reason, the Host cannot provide use of the Work area at the commencement of the Term (Booking starting time), you shall have the right to cancel the Booking with no penalty and be entitled to a full reimbursement of amounts paid.
Desk-Hub does not accept any liability, either to a Host or to any third party, in relation to any cancellation by a Rider. Any liability / claim for liability other than those indicated herein, shall be resolved strictly between the claimant Host/third person and the Rider in question.
3. Cancellation Policy for Hosts
3.1. Cancellations disrupt Riders' plans and impact confidence in the Desk-Hub community, thus Hosts should aim to fulfill all confirmed bookings. If a Host cancels a booking, cancellation fees and review consequences will apply. If a Host cannot fulfill a booking for any reason, it is their responsibility to cancel in a timely manner to allow their Rider to adjust their plans.
3.2. After giving details for your choice to cancel, your guests (the Riders) will receive a notification and a full refund.
3.3. The Work area is accepted by the Rider in its “as-is” “where-is” condition and layout. If, for whatever reason, the Host is unable to provide use of the Work area at the commencement of the Term (Booking starting time), you shall have the right to cancel the Booking with no penalty and be entitled to a full reimbursement of amounts paid.
3.4. As a Host, please check Hosts’ Specific Terms & Conditions for applicable fees in case of Cancellation by Hosts or due to Host’s unavailable work area.
Desk-Hub does not accept any liability, either to a Rider or to any third party, in relation to any cancellation by a Host. Any liability / claim for liability other than those indicated herein, shall be resolved strictly between the claimant Rider/third person and the Host in question.
4. Other Terms
4.1. Frequent Cancellations . Frequent cancellations, or no-shows, are a violation of our Terms of Service, and may result in removal of your account from Desk-Hub, valid for both Rider and Host.
4.2. Forbidden Activities . You are only liable for compliance with any and all legislation, rules, regulations, and tax obligations that may apply to your use of the Payment Services. In connection with your use of the payment functionalities of the Desk-Hub Platform, you may not and you agree that you will not and will not assist or authorize others to:
§ infringe or elude any applicable laws or regulations;
§ infringe or elude any contracts with third parties, third-party rights, or the Terms, Policies, or Standards;
§ use the payment functionalities of the Desk-Hub Platform for any commercial or other purposes that are not expressly allowed by these Payments Terms;
§ register or use any Payment Method or Pay-out Method with your Desk-Hub account that is not yours or you do not have authorization to use;
§ dodge, ignore, remove, deactivate, impair, decipher, or otherwise elude any technological measure implemented by Desk-Hub Payments or any of Desk-Hub Payments’ providers or any other third party to protect the payment functionalities of the Desk-Hub Platform;
§ take any action that prejudices or adversely affects, or could prejudice or adversely affect, the performance or proper functioning of the Payment Services;
§ attempt to descramble, decompile, disassemble, or back engineer any of the software used to provide the payment functionalities of the Desk-Hub Platform; or
§ contravene or breach anyone else’s rights or otherwise cause harm to anyone.
4.3. Applicable law and Jurisdiction . Desk-Hub and User shall attempt, in good faith, to amicably solve any dispute, controversy or claim arising out of, or in connection with these Payment Terms, whether based on contract or otherwise, including without limitation any dispute regarding the validity of these Terms or the termination, performance or breach thereof (“a/the Dispute”).
If such an amicable solution cannot be reached, any such Dispute shall be finally resolved exclusively by the competent court in Bucharest, Romania, as per article 126 of the Romanian Civil Procedure Code.
These Payment Terms shall be governed and interpreted in accordance with the laws of Romania.
In addition to these Payment Terms, other specific terms and policies apply to the use of the Desk-Hub Platform, as follows: our General Terms & Conditions, our Data Protection Policy, which describes our collection and use of personal data, our Content & Review Policy and Standards, our Cancellation Policy and our Specific Hosts Terms & Conditions.
Your acknowledgement and acceptance of these Payment Terms extends also to the aforementioned specific terms and policies, if applicable to your situation.
1 PURPOSE OF THIS PERSONAL DATA PROCESSING POLICY
1.1 This policy on the processing of personal data aims to provide you with information on how Desk Hub collects your personal data through your use of the Desk-Hub application / platform ("Application / Platform"), including any data you may provide through this Platform when you sign up, offer and purchase a work location (be it in any type of public or private building, for example a shared office, apartment, cafe, private house, hotel lounge), buy a service, or look for a location to serve as a temporary place for work.
1.2 This Platform is not intended for minors and we do not knowingly collect data on minors.
1.3 It is important that you read this policy on the processing of personal data together with any other information we may provide on certain occasions when we collect or process your personal data, so that you are informed on the manner, purpose and period for which we use the data. This policy on the processing of personal data complements the other notifications/policies and does not replace/eliminate those.

5 CATEGORIES OF PERSONAL DATA THAT WE PROCESS

14 HOW LONG IS MY PERSONAL DATA USED?
14.1 We will retain your personal data for as long as is necessary to fulfill the purposes for which we collected it, including in order to meet any legal, accounting or reporting requirements.
14.2 In determining the appropriate retention period for personal data, we consider the value, nature and sensitivity of your personal data, the potential risk caused by unauthorized use or disclosure of your personal data, the purposes for which we process your personal data and we may achieve these purposes by other means and by applicable legal requirements.
14.3 Details of retention periods for various aspects of your personal data are available in accordance with our data retention and deletion policy.
In principle, the period of retention of personal data, according to the respective policy on the processing of personal data is as follows:

16 RESPONSE TIME LIMIT

(f) The right to restrict processing may be exercised if the person disputes the accuracy of the data, for a period which allows us to verify the correctness of the data; the processing is illegal and the person opposes the deletion of personal data, instead requesting the restriction; if Desk Hub no longer needs the personal data for the purpose of processing, but the person requests it for the establishment, exercise or defense of a right in court; if the person has objected to the processing for the period of time in which it is verified whether the legitimate rights of the controller prevail over those of that person.
